Barbados News – Barbados Advances Corporate Transparency with New Beneficial Ownership Register Ahead of 2027 Launch

Barbados is preparing to introduce a comprehensive Beneficial Ownership Register by June 2027, marking another significant step in strengthening the country’s corporate governance, financial transparency, and international business reputation. The initiative forms part of Barbados’ ongoing efforts to align with global anti-money laundering (AML) and counter-terrorism financing (CTF) standards while safeguarding its position as a trusted international financial centre.

The new register will create a secure central database identifying the individuals who ultimately own or control companies operating in Barbados. Rather than focusing solely on the legal owners listed on company documents, the system is designed to identify the real individuals who exercise ownership or effective control over corporate entities.

Why the Register Is Being Introduced

International regulators have increasingly required jurisdictions to demonstrate greater transparency over corporate ownership to combat financial crimes such as money laundering, terrorist financing, tax evasion, sanctions evasion, and the misuse of shell companies.

Barbados’ Beneficial Ownership Register is intended to:

  • Strengthen corporate transparency.
  • Improve the country’s anti-money laundering framework.
  • Support law enforcement investigations.
  • Enhance investor confidence.
  • Protect Barbados’ international financial reputation.
  • Ensure continued compliance with global regulatory standards.

Government officials have stressed that international assessment bodies now evaluate not only legislation itself but also how effectively countries implement and enforce these transparency measures.

What Businesses Will Be Required to Report

Under the proposed framework, companies will be required to disclose information relating to individuals who ultimately own or exercise significant control over their businesses.

Generally, a beneficial owner includes someone who:

  • Owns at least 20% of a company’s shares.
  • Controls 20% or more of voting rights.
  • Holds significant partnership interests.
  • Exercises veto powers or other forms of effective control over company decisions or directors.

The objective is to ensure that ownership structures remain transparent, even where companies operate through multiple entities or nominee arrangements.

Secure Database with Limited Access

Officials have emphasised that the register is not intended to become a public database.

Instead, access will be restricted to authorised government agencies, law enforcement authorities, courts, and approved international requests made under legal agreements. Sensitive business information will remain protected while still allowing regulators to verify ownership when necessary.

This approach seeks to balance corporate privacy with international transparency obligations.

Support for Small Businesses

Recognising that compliance requirements can be challenging for smaller enterprises, the Government will establish a specialised Business Compliance Team to assist micro, small, and medium-sized businesses throughout the implementation process.

The support programme will help businesses:

  • Verify ownership information.
  • Prepare required documentation.
  • Correct filing errors.
  • Complete submissions efficiently.
  • Reduce unnecessary legal and administrative costs.

The collaboration between the Ministry of Energy, Business Development and Commerce and Business Barbados is expected to simplify the transition while encouraging widespread compliance across the business community.

Meeting Global Transparency Standards

The register follows the passage of the Beneficial Ownership Bill through Barbados’ House of Assembly and represents another milestone in the country’s broader regulatory reform programme.

The legislation has been designed to align Barbados with internationally recognised standards established by organisations including the Financial Action Task Force (FATF) and the Caribbean Financial Action Task Force (CFATF), both of which promote stronger financial transparency and corporate accountability worldwide.

Officials have noted that Barbados must demonstrate the operational effectiveness of the new framework by June 2027, when international peer review assessments are scheduled to take place. Maintaining compliance will be critical to preserving correspondent banking relationships, avoiding financial sanctions, and protecting Barbados from future grey-listing risks.

Strengthening Barbados’ Business Environment

The introduction of the Beneficial Ownership Register reflects Barbados’ commitment to creating a modern, transparent, and internationally respected business environment.

Alongside recent legislative reforms and improvements to corporate regulation, the initiative reinforces the country’s position as a competitive jurisdiction for legitimate international business and investment while strengthening safeguards against financial crime.

As Barbados prepares for the June 2027 rollout, businesses across the island are encouraged to familiarise themselves with the new reporting requirements and ensure they are ready to comply when the system becomes fully operational.
